Private Limited Company
Incorporation of limited companies in Hong Kong is governed by the Companies Ordinance. The memorandum and articles of association are the primary legal document of a company, which states the power and the internal regulations of the company. They are required to submit to Companies Registry (CR) at the time of incorporation. After approval by the CR, a Certificate of Incorporation in name of that company is issued.

The basic and minimum structure of a Hong Kong limited company is having at least 1 shareholder, 1 director and 1 company secretary. The address of the registered office and secretary must be in Hong Kong.

There are 2 types of formation methods. Tailor-made method suits your requirements in the company name, the share structure, number of shareholder/director and some clauses in the articles of the association. Whereas shelf company approach is that you buy a ready-made company by selecting the name of the ready company. It has 10,000 shares of HK$1 and 1 issued share. The existing subscriber will transfer the issued 1 share to you as the potential buyer (if you require to allot more shares to you or additional shareholders, we will charge extra service fee). This approach is fastest way to incorporate a company.

Company Limited by Guarantee
Other than privated limited by shares, some clients may incorporate Hong Kong company limited by guarantee, which is mainly established for the purposes of enhancement of education/training (like association or society), religion, relief of poverty, environmental protection, trust and foundation, and betterment for the community. Most companies fallen into this type is not for profit. It may not be a charitable institution, but it is normally a group under the class Non-Governmental-Organisation ("NGO").

If the objectives of the company is not-for-profit and for charities etc.., we may assist for in the application for approved charitable institution ("ACI") and incorporate the company for such purpose.

The basic and minimum structure of a Hong Kong company limited by guarantee is having at least 2 members, 2 directors and 1 company secretary. The address of the registered office and secretary must be in Hong Kong.
